PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE HELM PLATFORM. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE HELM.
1. About These Terms
These Terms and Conditions ("Terms") govern your access to and use of the helm platform, including the website located at hellohelm.co, the web application located at app.hellohelm.co, and all associated services (collectively, the "Platform"), operated by HELM PLATFORMS PTY LTD (ABN 41 695 031 817) ("helm", "we", "us", or "our").
These Terms constitute a legally binding agreement between you and helm. By creating an account, purchasing a subscription, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms in their entirety, including our Privacy Policy, which is incorporated by reference.
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice on the Platform at least 14 days before they take effect. Material changes will not apply retrospectively to a Listing or Subscription period you have already paid for. Your continued use of the Platform after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to a material change, you may stop using the Platform and, where the change materially and adversely affects you during a period you have prepaid, cancel and receive a pro-rata refund of the prepaid, unused fees for that period.
All fees are in Australian Dollars (AUD) and are inclusive of GST where applicable.
These Terms are effective from 18 June 2026.
2. Definitions
In these Terms, the following definitions apply:
- "Account" means the user account you create to access and use the Platform.
- "AI Features" means the artificial intelligence-powered tools, outputs, and functionality made available through the Platform from time to time, which may include (without limitation) tools that help create, enhance, and present your Listing, surface and summarise information relevant to your property and the sale process, assist you and prospective buyers in communicating through the Platform, assess and score offers, and provide general guidance and support for your decisions.
- "Content" means any information, text, data, photographs, documents, materials, or other content submitted by you to the Platform, including all property listing details.
- "Listing" means a property advertisement created by you and published through the Platform.
- "Platform" has the meaning given in clause 1 above.
- "Property Portals" means third-party real estate advertising portals, including Domain (domain.com.au) and realestate.com.au (REA), to which helm may submit your Listing subject to applicable terms and availability.
- "Services" means all features, tools, AI outputs, and property marketing support made available through the Platform.
- "Subscription" means a paid plan to access the Platform as described in clause 5.
- "User", "you", or "your" means any individual who accesses or uses the Platform.
3. Eligibility and Account Registration
3.1 Eligibility
To create an Account and use the Platform, you must be at least 18 years of age and not be prohibited from using the Platform under any applicable law.
If you use the Platform to list a property for sale, you must also:
- be the registered owner of the property you intend to list, or have the legal authority and written permission to list the property on behalf of the registered owner; and
- be an Australian resident or have the legal right to sell property within Australia.
If you use the Platform to search for property, save listings, make enquiries, or submit offers, you may create and use an Account for those purposes subject to these Terms, including the acknowledgements in clause 4.4 and the Acceptable Use requirements in clause 7.
By registering an Account, you represent and warrant that you satisfy the requirements applicable to you. helm reserves the right to verify ownership or authority to list at any time.
3.2 Account Creation
To access the Platform, you must create an Account by providing accurate, complete, and current information, including your name, email address, contact number, and details of the property you intend to sell. You agree to keep this information up to date throughout your use of the Platform.
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. If you suspect any unauthorised use of your Account, you must notify us immediately at team@hellohelm.co.
We reserve the right to suspend or terminate any Account where we reasonably believe the registration information is inaccurate, incomplete, or fraudulent.
3.3 Identity and Ownership Verification
As part of registration and before your Listing is published, you may be required to submit verification documents confirming your identity and your ownership of, or authority to list, the relevant property. Acceptable documents may include a rates notice, certificate of title, or valid government-issued photo identification. helm will only publish Listings where it is satisfied as to your identity and legal authority.
4. Nature of Services
4.1 Software and Technology Platform
helm is a software and technology company. The Platform provides property sellers with tools for marketing, listing distribution, and AI-powered selling intelligence to support the private sale of residential property. helm is not a real estate agent, does not provide real estate agency services, and does not act on your behalf in the sale of your property.
Important: helm provides you with information, tools, and guidance to assist your own decision-making. helm does not act as your agent, does not negotiate on your behalf, and does not enter into contracts on your behalf. You remain solely responsible for all decisions made in connection with the sale of your property.
Nothing in these Terms or on the Platform constitutes legal, financial, investment, valuation, or real estate agency advice. We strongly recommend that you obtain independent advice from a licensed conveyancer or solicitor before listing your property and before entering into any contract for the sale of your property.
4.2 AI Features: Important Limitations
helm's AI Features are designed to assist and inform your decision-making throughout the sale process. In using these features, you acknowledge and agree that:
- AI outputs are generated using artificial intelligence and the information available to it, including information that you and prospective buyers provide, and may not always be accurate, complete, or current;
- AI outputs are provided for general information and guidance only, are not a substitute for independent professional advice, and do not constitute legal, financial, or valuation advice;
- any assessment or scoring of offers, and any guidance provided, is indicative only and does not guarantee any offer acceptance, sale price, or transaction outcome;
- property market conditions, individual property characteristics, and buyer behaviour involve factors that AI cannot fully capture;
- you should treat all AI outputs as one input among many when making decisions, and not as definitive advice; and
- helm's AI Features are tools that empower you to make better-informed decisions. The decisions themselves remain entirely yours.
helm makes reasonable efforts to provide useful and reliable AI outputs but cannot warrant that they are error-free, current, or appropriate for your specific circumstances.
4.3 Property Portal Listings
Subject to your Subscription plan and the applicable terms of each Property Portal, helm may submit your Listing to Domain and/or realestate.com.au. Your access to Property Portals is subject to:
- helm maintaining the arrangements and access necessary to submit listings to the relevant Property Portal;
- your compliance with the Acceptable Use requirements in clause 7 of these Terms;
- the separate terms and policies of each Property Portal, which helm will make available to you (including by link) and which you agree to by proceeding with submission of your Listing; and
- portal availability, which may change at any time for reasons outside helm's control.
helm does not guarantee that your Listing will be accepted by any Property Portal, or that it will remain live for any particular period. Where a Property Portal changes its terms, pricing, or listing requirements, helm reserves the right to adjust or discontinue submission to that portal with notice to you. Where Domain listing (which is included in all plans) becomes unavailable for a material period through no fault of yours, helm will, at your election, provide a pro-rata credit or refund of the fees referable to the affected period. Subject to the preceding sentence and to your rights under the Australian Consumer Law, helm will not be liable for any indirect or consequential loss arising from a change in portal access or availability.
4.4 Offers and the Sale Process
The Platform allows prospective buyers to submit offers in respect of your property and conveys those offers to you. In doing so, helm acts solely as a conduit for communicating offers between prospective buyers and sellers. helm is not a party to any offer, negotiation, or sale, and does not act for either the buyer or the seller.
You acknowledge and agree that:
- helm does not verify the identity, financial position, borrowing capacity, intentions, or ability to complete of any prospective buyer, and does not verify the accuracy, genuineness, or enforceability of any offer submitted through the Platform;
- any score, assessment, or insight helm provides in relation to an offer (including AI offer scoring) is decision-support information only. It is not a form of verification or endorsement, and is not a recommendation to accept or reject any offer;
- the submission, transmission, or display of an offer through the Platform does not create a binding contract between you and any prospective buyer, and does not constitute acceptance of that offer;
- decisions to accept, reject, counter, or negotiate any offer are made by you alone, and the conduct and conclusion of any negotiation is a matter for you and the prospective buyer; and
- all due diligence, verification, contract preparation, exchange, and settlement are the responsibility of the buyer, the seller, and their respective legal representatives (such as solicitors or conveyancers). Any binding agreement for the sale of your property is formed separately between you and the buyer in accordance with applicable law, and not through the Platform.
helm is not responsible for, and has no liability in connection with, the conduct of any prospective buyer, the truth or accuracy of any offer or representation made by a buyer, or the completion or non-completion of any sale.
4.5 No Handling of Sale Funds
helm does not receive, hold, control, or disburse any money payable in connection with the sale of your property. This includes any deposit, part-payment, purchase price, or other funds owed between a buyer and a seller.
All such funds must be paid directly between the buyer and the seller through their respective legal representatives (such as a conveyancer or solicitor), or through another appropriate trust or settlement arrangement established by those representatives. No deposit or purchase money is to be paid to helm, through any helm account, or through the Platform, and helm will not accept or facilitate any such payment.
The only payments helm receives from you are the Subscription fees and any add-on fees set out in clause 5. Those fees are separate from, and unrelated to, the proceeds of your property sale.
4.6 Information for Buyers
If you use the Platform to search for property, make enquiries, or submit offers, you acknowledge that helm does not verify the accuracy or completeness of any Listing or other information provided by a seller, does not independently verify a seller's identity, ownership, or authority to sell beyond the checks described in clause 3.3, and does not inspect or verify the condition of any property. Listings and the information in them are provided by sellers, not by helm. You are responsible for conducting your own due diligence and for obtaining independent legal and other professional advice, including from a licensed conveyancer or solicitor and any building, pest, or other inspection you consider appropriate, before making or proceeding with any offer.
5. Pricing, Payment, and Cancellation
5.1 Subscription Plans
helm offers the following pricing options (all amounts in AUD inclusive of GST):
- Weekly Subscription: $349 per week, with a minimum subscription term of two (2) weeks. After the minimum term, you may cancel at any time in accordance with clause 5.3.
- One-Off Listing Fee: $2,499 flat fee, which includes listing until the property is sold or delisted, subject to these Terms.
- REA Portal Add-On: $1,500 flat fee for submission to realestate.com.au, where available. This fee is a pass-through cost reflecting the amount charged to helm by REA for listing access. This fee is non-refundable once your Listing has been submitted to REA.
Domain listing is included in all plans, subject to Domain's portal availability and applicable terms.
helm reserves the right to adjust pricing at any time by providing at least 30 days' written notice to active subscribers. Price changes will not affect your current prepaid subscription period.
5.2 Payment Processing
Payment is processed through Stripe using secure, encrypted payment methods. By providing your payment details, you authorise helm to charge the applicable fees in accordance with your selected Subscription plan.
For weekly subscriptions, billing occurs automatically each week until you cancel. You are responsible for ensuring that your nominated payment method remains valid throughout your subscription.
5.3 Cancellation
You may cancel your Weekly Subscription at any time after the completion of the mandatory two-week minimum term by notifying us at team@hellohelm.co or through the cancellation function in your Account settings. Cancellation takes effect at the end of the current billing week. No refunds will be provided for any partial weeks.
The One-Off Listing Fee is non-refundable once your Listing has been published on the Platform.
helm may cancel your Subscription immediately if you breach these Terms or if your Listing is removed for cause.
5.4 Failed Payments
If a payment fails, we will notify you and may attempt to reprocess the payment. If payment remains outstanding after seven (7) days, helm reserves the right to suspend your Account and remove your Listing from the Platform and any Property Portals.
6. Your Listing and Content
6.1 Accuracy of Information
You are solely responsible for the accuracy, completeness, and legality of all Content you submit to the Platform. You represent and warrant that:
- all property information, descriptions, and pricing you provide are accurate and not misleading;
- all photographs and other visual materials are accurate representations of the property as it currently exists;
- the asking price and any other price-related statements comply with applicable consumer law requirements, including the Australian Consumer Law;
- you will promptly update your Listing to reflect any material changes to the property or your sale status; and
- you will remove or update your Listing within 48 hours of exchanging a contract of sale or entering into a binding sale agreement.
6.2 Licence to Use Your Content
By submitting Content to the Platform, you grant helm a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit, reformat, and publish your Content for the purposes of operating the Platform, creating your Listing, submitting it to Property Portals, and providing the Services. This licence continues for the duration of your Subscription and for the data retention period set out in our Privacy Policy thereafter, for archival and operational purposes.
You warrant that you hold all necessary rights to grant this licence and that your Content does not infringe the intellectual property, privacy, or other rights of any third party.
6.3 helm's Rights Over Content
helm reserves the right to review, reformat, or decline to publish any Content that, in our reasonable opinion:
- is misleading, inaccurate, or likely to deceive buyers;
- violates these Terms, any Property Portal's acceptable use policy, or applicable law;
- is offensive, discriminatory, or otherwise inappropriate; or
- is of insufficient quality to represent the property effectively.
Where helm edits or reformats your Content, we will endeavour to preserve the substance of your listing. You acknowledge that Content published through Property Portals is subject to the rules and formatting requirements of those portals, which may vary and change over time.
6.4 Removal of Listings
You must remove your Listing (or notify helm to remove it) within 48 hours of:
- the property being sold or exchanging contracts of sale;
- you deciding not to proceed with the sale; or
- a request from helm to remove the Listing for any reason permitted by these Terms.
helm reserves the right to remove any Listing that it reasonably believes is no longer current, has been sold, or violates these Terms, without prior notice to you.
6.5 State-Specific Requirements
Property sales in Australia are subject to state and territory law, which varies by jurisdiction. You are solely responsible for ensuring that your Listing and the sale process comply with all laws applicable to your property and its location.
Requirements differ between states and territories and may include, by way of example only:
- in New South Wales and the Australian Capital Territory, the requirement to have a valid Contract of Sale prepared before commencing advertising; and
- in Queensland, mandatory seller disclosure obligations under applicable property law.
These examples are not exhaustive. Other requirements, including vendor disclosure statements and pre-contract documentation, apply in other states and territories. helm strongly recommends that you consult a licensed conveyancer or solicitor in the relevant state or territory before listing your property.
7. Acceptable Use
7.1 Permitted Use
You may use the Platform only for the purpose of marketing your own residential property for private sale in Australia, or to search for, enquire about, or make offers on residential property listed through the Platform, in each case in accordance with these Terms.
7.2 Prohibited Conduct
You must not use the Platform to:
- list a property that you do not own or have no legal authority to sell;
- provide false, misleading, or deceptive information about your property or its characteristics;
- list the same property multiple times using separate Accounts or Listings;
- use the Platform for any commercial purpose other than private property sale;
- upload or transmit any malicious code, viruses, or content that disrupts the Platform;
- attempt to access another user's Account without authorisation;
- scrape, harvest, or collect data from the Platform for any purpose not expressly permitted;
- use the Platform in any manner that violates applicable laws, including anti-discrimination laws, privacy laws, or consumer protection laws; or
- attempt to reverse-engineer, copy, or replicate the AI Features or any other proprietary element of the Platform.
8. Third-Party Services and Portals
The Platform integrates with or facilitates access to third-party services, including Property Portals. These third-party services are governed by their own terms and conditions and privacy policies. helm does not control and is not responsible for the content, availability, or practices of any third-party service.
Links to third-party websites on the Platform do not constitute an endorsement by helm of those websites or their operators.
9. Intellectual Property
9.1 helm's Intellectual Property
All intellectual property rights in the Platform, including its software, design, prompts and AI configurations, trade marks, brand name, and all content created by helm, are owned by or licensed to helm. The Platform makes use of third-party artificial intelligence models under licence, and helm does not claim ownership of those underlying models. Nothing in these Terms transfers any ownership of helm's intellectual property to you.
9.2 Restrictions
You must not, without helm's prior written consent:
- copy, modify, or create derivative works of the Platform or any part of it;
- reverse-engineer or decompile any software underlying the Platform;
- use helm's trade marks, logo, or brand name in any manner; or
- commercialise, sublicense, or resell access to the Platform.
10. Disclaimer of Warranties
Our Services come with consumer guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this clause 10 or in clause 11 excludes, restricts, or modifies those guarantees or any other right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. The disclaimers and limitations in these clauses apply only to the extent the law permits.
To the maximum extent permitted by law, the Platform and Services are provided on an "as is" and "as available" basis. helm makes no warranty, express or implied, including but not limited to:
- any warranty of merchantability, fitness for a particular purpose, or non-infringement;
- that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components;
- that any AI output will be accurate, reliable, current, or suitable for your purposes;
- that your Listing will attract buyers, result in a sale, or achieve any particular sale price; or
- that Property Portals will accept, publish, or maintain your Listing for any particular period.
Nothing in these Terms excludes any guarantee or right that cannot be excluded under the Australian Consumer Law.
11. Limitation of Liability
11.1 Exclusion of Consequential Loss
To the maximum extent permitted by law, helm will not be liable for any indirect, consequential, special, incidental, or punitive loss or damage arising from your use of, or inability to use, the Platform or Services, including but not limited to loss of profit, loss of revenue, loss of data, or loss of opportunity, whether arising in contract, tort (including negligence), or otherwise, even if helm has been advised of the possibility of such loss.
11.2 Cap on Liability
To the extent permitted by law, helm's total aggregate liability to you in respect of all claims arising from your use of the Platform is limited to the greater of: (a) the total fees paid by you to helm under your current or most recent Subscription in respect of the relevant property; and (b) one hundred dollars (AUD $100).
11.3 Consumer Law Rights
Nothing in these Terms excludes, restricts, or modifies any right or guarantee you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. Where helm is liable for a failure to comply with a consumer guarantee, and to the extent the Australian Consumer Law permits us to limit that liability, helm's liability is limited, at our election, to resupplying the relevant service or paying the cost of having the service supplied again.
12. Indemnity
You agree to indemnify helm and its officers, employees, and contractors against any loss, damage, liability, claim, or expense (including reasonable legal costs) suffered or incurred as a result of a third-party claim, to the extent that claim arises from or in connection with:
- your material breach of these Terms;
- any Content you submit to the Platform that is inaccurate, misleading, or infringes the rights of a third party;
- your breach of any applicable law; or
- your property or its sale, including claims by buyers relating to the condition or description of your property.
This indemnity does not apply to the extent the relevant loss, damage, liability, claim, or expense is caused or contributed to by helm's own negligence, breach of these Terms, or wilful misconduct, and is reduced proportionately to that extent.
13. Termination and Suspension
13.1 Termination by You
You may terminate your Account at any time by contacting us at team@hellohelm.co. Termination does not entitle you to a refund of any fees paid, except where required by the Australian Consumer Law or as otherwise provided in these Terms.
13.2 Termination by helm
helm may suspend or terminate your Account and remove your Listing immediately and without notice where:
- you have engaged in fraudulent, illegal, or deceptive conduct;
- you commit a material breach of these Terms that cannot be remedied;
- your property has been sold or is no longer available for sale;
- we are required to do so by law or by a Property Portal; or
- we cease operating the Platform.
For any other breach of these Terms, helm will give you written notice describing the breach and a reasonable opportunity (not less than seven (7) days) to remedy it before suspending or terminating your Account.
Where helm terminates your Account other than because of your breach or conduct (including where helm ceases operating the Platform), helm will refund a pro-rata portion of any prepaid, unused fees referable to the remaining period.
13.3 Effect of Termination
Upon termination of your Account, your access to the Platform will cease and your Listing will be removed. Provisions of these Terms that by their nature should survive termination, including clauses relating to intellectual property, indemnity, limitation of liability, and governing law, will continue in full force and effect.
14. Privacy
Your privacy is important to us. Our Privacy Policy, available at hellohelm.co/legal-pages/privacy-policy, explains how we collect, use, disclose, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy, which forms part of these Terms.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of that State. Nothing in this clause prevents you from bringing proceedings in, or limits your right to the protection of, the courts or tribunals of the State or Territory in which you reside.
15.2 Dispute Resolution
Before commencing any legal proceedings, you agree to notify helm in writing of any dispute and to engage in good-faith negotiations for a period of not less than 30 days. If the dispute is not resolved during this period, either party may refer the matter to mediation or commence legal proceedings. Nothing in this clause prevents either party from seeking urgent interlocutory relief, or limits your right to make a complaint to, or seek a remedy from, any regulator or tribunal.
16. General
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and helm with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is held to be void, unlawful, or unenforceable, that provision will be severed from the remaining Terms, which will continue in full force and effect.
16.3 Waiver
A failure or delay by helm to exercise any right under these Terms does not constitute a waiver of that right. Any waiver must be in writing to be effective.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without helm's prior written consent. helm may assign its rights and obligations under these Terms to any successor entity in connection with a merger, acquisition, or sale of assets, provided your rights under these Terms are not materially reduced as a result.
16.5 Notices
Notices to helm should be sent to team@hellohelm.co or to the registered address below. Notices to you will be sent to the email address associated with your Account.
